Terms of Service

The terms for using FunnelLedger.

FunnelLedger is a HubSpot forensic toolkit that audits whether your lifecycle-stage labels are supported by evidence and returns a read-only report. These Terms govern your use of the FunnelLedger website, app, and reports, and should be read together with our Privacy Policy, which they incorporate by reference. By using FunnelLedger you agree to these Terms.

section 1

Overview

FunnelLedger ("FunnelLedger", "we", "us") provides HubSpot lifecycle-stage evidence audits. These Terms of Service apply to the FunnelLedger website, the FunnelLedger application, and the reports and exports it produces (together, the "service"). FunnelLedger is provided as described on the website and in the applicable checkout or order flow.

We may update these Terms from time to time. When we do, we will change the "Last updated" date above and, for changes that materially affect active customers, give reasonable notice where practical. Continued use of the service after an update means you accept the updated Terms. Where you and FunnelLedger have a separate written agreement, that agreement controls to the extent it differs from these Terms.

section 2

Who may use FunnelLedger

FunnelLedger is a business tool. It is intended for businesses, agencies, and the HubSpot administrators or operators who run their portals. By using the service you confirm that you are using it for business purposes on behalf of an organization you are authorized to represent, and that you can form a binding contract.

FunnelLedger is not intended for consumer or personal use and is not directed to individuals acting in a personal capacity.

section 3

What the service provides

FunnelLedger audits the lifecycle-stage evidence in a HubSpot portal. Depending on the path you choose and what your data supports, the service may provide:

Available features depend on the path you choose, your HubSpot tier and scopes, and the evidence present in your portal. Some capabilities may be offered on a pilot or invitation basis.

section 4

What the service does not provide

So expectations are clear, the service does not provide:

The only change FunnelLedger can make in HubSpot is creating a static list from a cohort you explicitly approve (see section 6). Everything else is read-only.

section 5

Customer responsibilities

When you use FunnelLedger, you agree that:

section 6

HubSpot access & permissions

In connected mode, FunnelLedger uses HubSpot OAuth and requests only the scopes it needs to read lifecycle evidence and, where you approve it, to create static lists. In practice that means read access to the lifecycle and evidence properties the audit uses, and — only if you approve a Segment Action — the crm.lists.read and crm.lists.write scopes required to create a static list.

To be explicit about the boundary:

The only HubSpot write surface is creating a static list from a cohort you explicitly approve, with the required scopes; every such action is audit-logged. You can revoke FunnelLedger's access from inside HubSpot at any time. Revoking access stops further reads and any further list creation; lists already created remain in your HubSpot under your control.

section 7

Data & privacy

How FunnelLedger handles data is described in full in our Privacy Policy, which is incorporated into these Terms. In summary:

Verdicts are deterministic. AI is used only to assist with wording and context where documented, behind the PII firewall, and never to decide a lifecycle verdict.

section 8

Payment & billing

FunnelLedger reports are sold per delivered report, not on a recurring plan. Current pricing is shown on the Pricing page. Fees are handled through the applicable checkout or order process. Any refund, cancellation, or billing terms will be stated at checkout or in a separate written agreement. You are responsible for any taxes that apply to your purchase.

section 9

Availability & changes

FunnelLedger is an evolving product, and some capabilities are offered on a pilot or invitation basis. Features and interfaces may change over time, and the service is provided as described on the website and in the applicable checkout or order flow. We aim to keep the service available and reliable but do not promise uninterrupted availability, except as otherwise agreed in writing.

section 10

Acceptable use

You agree not to:

We may suspend or limit access that we reasonably believe breaches these rules or puts the service, other customers, or third parties at risk.

section 11

Intellectual property

FunnelLedger owns FunnelLedger. The software, website, report templates, brand, and underlying methods are owned by FunnelLedger and its licensors. These Terms do not transfer ownership of the service to you.

You own your data. Your HubSpot data, and the records you upload or connect, remain yours. FunnelLedger does not claim ownership of your customer data.

You may use the reports FunnelLedger generates for your own internal business purposes and, for agencies, for the client work described in section 12, subject to these Terms. You may not resell or redistribute the FunnelLedger software or present the service itself as your own product, except as agreed in writing.

section 12

Agency & client use

FunnelLedger is built to be useful to HubSpot agencies and consultants who audit client portals. If you use FunnelLedger on behalf of a client:

Any white-label, resale, or co-branding arrangement applies only if agreed in writing with FunnelLedger.

section 13

Reports & recommendations

FunnelLedger reports present evidence and recommendations to inform your decisions. Reports are evidence and recommendations, not guarantees. Verdicts are computed deterministically from the evidence available, so incomplete or inaccurate source data will affect the output. You are responsible for verifying findings before you act on them, and for any decisions you make based on a report.

Read-only by default. A report is a read-only artifact. FunnelLedger does not change your HubSpot records when it produces a report. The only action that writes to HubSpot is a static list you explicitly approve.

section 14

Suspension & termination

You can stop using FunnelLedger at any time. You can revoke FunnelLedger's HubSpot access from inside HubSpot, and you can request deletion of your FunnelLedger-side data by emailing support@funnelledger.com (see the Privacy Policy for the deletion process and timing).

We may suspend or terminate access if we reasonably believe you have breached these Terms or the acceptable-use rules, or where necessary to protect the service, other customers, or third parties. Provisions that by their nature should survive termination — such as intellectual property, disclaimers, and limitation of liability — survive.

section 15

Disclaimers & limitation of liability

To the extent permitted by law, the service is provided on an "as is" and "as available" basis, without warranties of any kind, except as otherwise agreed in writing. FunnelLedger does not warrant that the service will be uninterrupted or error-free, or that a report will achieve any particular result.

To the extent permitted by law, FunnelLedger is not liable for indirect, incidental, special, or consequential damages, or for decisions made or actions taken based on a report. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
